Corporate governance: sick and tired
Article Abstract:
The chairman of Marks and Spencer, Richard Greenbury, was asked to improve the image of UK boards of directors. He prepared a report on executive's pay which led to a debate on responsibilities of directors toward shareholders. Greenbury argues that his report has been distorted and the detailed analysis of his recommendations came too early. He is displeased at having been described as a 'fat cat, and argues that he has become cynical about his public role.
