Arabis: investors on the warpath

Major shareholders in Arabis are calling for the resignation of Michael Griffiths, executive chairman of the company. Bryan Stock, Arabis' new chief executive, has resigned, and shareholders argue that Griffiths placed too many constraints on Stock's freedom to run the company. Stock has taken a restructuring charge to allow Arabis to sell giftware and jewelry activities and focus on engineering. Griffiths claims a disagreement on how shareholder value should be obtained. One investor has threatened an EGM to remove Griffiths if he does not leave of his own accord.

Tax boost for bosses on new bonus schemes
Article Abstract:
UK bonus schemes for boards of directors are being developed by some 50 companies. These performance share schemes are partly geared to making use of a tax loophole. They are a new type of shares that executives can buy. They can be turned into ordinary shares when executives meet performance targets. Directors pay with their own money but can obtain shares at a discount though this scheme, so can make large gains. Companies which plan to use such schemes include Lorien.

Boss slams top pay rules
Article Abstract:
The head of the 600 Group, Colin Gaskell, has criticised recommendations made by the Greenbury Committee on executive pay in the UK. He argues that the Greenbury recommendation that non-executive directors should have a greater role in deciding pay is not sensible. Shareholders can dismiss directors who pay themselves too much, he argues. Meanwhile the company has been criticised for lack of disclosure on how free shares are allocated.
