The SEC is preparing a major proposal covering the issuance of stock. The new rules will cover initial public offerings, bonds, secondary stock offerings, filing Exchange Act reports, consolidation disclosures and meeting proxy guidelines. The proposals, which will change the amendments contained in the Securities Act of 1933, account for the impact of the Internet on corporate finance information, the growing market of institutional buyers and the demand for accurate and timely disclosure from investors.
