Basic issues in organizations: a comparative perspective
Article Abstract:
Organizations share common characteristics in structure and behavior, because bounded rationality and self-interest generate technical-administrative (TA) and agency-managerial (AM) problems. Factors that affect bounded rationality and self-interest and the extent to which they are manifested as TA and AM problems include: the market's economic, political, and legal system; the social norms, culture, and economic development of a country; and the specific product, technology, and market of a firm. These factors can provide important distinctions in organization structure.

The static surplus efficiency of the LMF, CMF, and hybrid firms
Article Abstract:
The social surplus efficiency of the labor-managed firm (LMF), the classical capital-managed firm (CMF) and the codetermined and participatory CMF are analyzed. Results show that participatory CMFs and investment-incentive, internally financed LMFs are the more surplus efficient firms. The classical CMF may fail to reach social surplus efficiency if work yields some utility to workers, even in the presence of flexible wages.

Employee buyout in a bargaining game with asymmetric information
Article Abstract:
Beneficial tax treatment in the preparation of employee stock options, problems in finding buyers for small areas and exploitation of a productivity advantage are common reasons for employee buyouts. A case is assumed wherein management possesses superior information over employees on firm profits. In such cases, the buyout functions as a screening mechanism, where profit levels determine the course of employer action.
