Who is in whose pocket? Director compensation, board independence, and barriers to effective monitoring
Article Abstract:
The bargaining framework is used to determine the relations between the independence of the board of directors and the chief executive officers' compensation. The more independent and more outsiders dominated boards allow compensations more closely aligned with the shareholders' objectives.
