Baxter shareholders protest quiet settlements

Some shareholders objected to settlements of stockholder derivative actions against Baxter International Inc for the company's participation in an Arab boycotting of Israel. The settlement of the derivative actions required substantial investment in Israel's economic development but did not penalize the directors individually. The objecting shareholders wanted the directors to be penalized for breach of fiduciary duties for participation in the boycott but eventually dropped their objections after deciding their case was weak.

Courts in New York and Florida will resolve years of quarreling between the two sons of former Hope Diamond owner Harry Winston over his estate. Ronald, now 54, worked beside his father for 14 years before taking over his worldwide gems business, while Bruce, 51, became an international playboy. However, a Florida judge ruled in June 1995 that Ronald deceived the court and his brother in manipulating their mother's assets, placing them beyond Bruce's reach. Now Bruce wants the business sold, while Ronald denies all charges.

Was Conrail's board on the right track? Third Circuit airs doubts on the fairness of Conrail deal
Article Abstract:
Lawyers for the hostile bidder for Conrail Inc, the Norfolk Southern Corp, have thus far failed to persuade federal courts to block the merger deal Conrail signed with CSX Corp. Pennsylvania's anti-raider law, which gives corporate directors much power to resist a hostile takeover, has fended off Norfolk Southern. The provisional deal between Conrail and CSX provides for a two-step merger with cash to first shareholders to tender their shares and a "back end" with a stock trade. This structure is frequently called coercive.
