Article Abstract:
The law covering the doctrine of unconscionability in UCC 2-302 does not define precisely what the doctrine means, and case law has had to fill in the meaning of the term. Procedural unconscionability deals with the process of contract formation, while substantive unconscionability focuses on the terms of the contract. This gives courts a two-pronged test to apply. The rights of the transferee-beneficiary of a transferable letter of credit are also discussed.
