Directors' negligence liability to creditors: a comparative and critical view

The author argues that it is appropriate to impose liability on corporate directors for negligence, but that caution must be used in setting the scope of liability. Topics include the distinction between fiduciary duty and the duty of care. Corporate director liability laws in a number of nations are outlined.
