Extending the fraud on the market theory: the Second Circuit's connection test for SEC Rule 10b-5

The author criticizes the U.S. 2d Circuit Court of Appeals for applying the fraud on the market theory to SEC Rule 10b-5's reliance element-connection requirement in the 1998 case concerning a drug manufacturer's advertisements in a technical medical journal In re Carter-Wallace, Inc. The author suggests the use of the bespeaks caution doctrine in this context.
