Franchising and the Civil Code of Quebec
Article Abstract:
The Civil Code of Quebec, replacing the Civil Code of Lower Canada, should not greatly affect existing franchise agreements, but should be taken into consideration by those entering into contractual agreements in Quebec. Overall, the code gives the courts more power to act in contract disputes, effectively ending a long history in Quebec of almost absolute freedom of contract. The most relevant sections of the code for franchisors deal with adhesion contracts, which includes franchise agreements, and are discussed.

The constitutionality of retroactive franchise laws
Article Abstract:
The authors examine the constitutionality of state laws which effectively change franchise agreements which were in existence before the laws passed. The issue of whether this violates the Contracts Clause of the US Constitution is discussed.
