National corporate law - two steps forward, one step back!
Article Abstract:
Australia's corporate law may have been made uniform and may be intended to be applied uniformly in all states, but review of recent case in the Victoria, New South Wales and Queensland Supreme Courts indicates that consistency in judicial decision-making has not been achieved. The High Court noted in Australian Securities Commission v. Marlborough Gold Mines Ltd. that it was resolving the controversy to remove disagreement among the states. The decisions reviewed focus on the commercial effect given to certain legislation.

Getting the law right on company directors
Article Abstract:
Australia's Companies and Securities Advisory Committee issued a discussion paper entitled "Corporate Groups" to propose changes to the Corporations Law. To date, Australian governments failed to give the issues facing company directors in commercial situations the serious consideration they deserve. Matters relating to corporate groups are particularly controversial. The paper thoroughly explores the question of whether directors of wholly owned subsidiaries should be able to act in the interest of their holding companies.

Company law reform by no half measures! The CLERP Program really "takes off"
Article Abstract:
Reform legislation for Australia's company law, known as the CLERP program, was proposed in 1998 to help Australian companies compete internationally. Suggested changes involving corporate directors and their duty of care have been criticized as leaving directors more vulnerable than under existing law. Adoption of a business judgment rule, rejected early in the 1990s, is now considered essential.
