Janet Langford Kelly, the senior vice pres, secretary and general counsel of the Sara Lee Corp, heads a department of 45 attorneys, of which the 6 who work at headquarters in Chicago have the responsibility for the corporate work of the company. Kelly describes the law department as centralized by giving day-to-day responses in decentralized ways. Kelly developed a company global business standards program and regards as the company's major deal its acquisition of the French meat business Aost.

He's embattled, not beleaguered

Stephen T. Braun, the senior vice pres and general counsel of the Columbia/HCA Healthcare Corp, heads a legal department of 40 attorneys, mainly in the Nashville headquarters. The department plans on staying mainly centralized. Actual litigation is the main activity handled by outside counsel, although monitoring by inside personnel will be active. Columbia has acquired many hospitals in the 1990s and much of the legal work has been connected with that.

Siri Marshall, the senior vice pres and general counsel of General Mills Inc, headquartered in Minneapolis, MN, has 17 corporate cousel under her. Five of these attorneys work in the tax area. She relies on recommendations in her selection of outside cousel. For lawyers for her own department, she values on-the-job experience and will not hire straight from law school. Marshall is also active in pro bono work.
