Federalism, regulatory competition, and the limited liability movement: the coyote howled and the herd stampeded
Article Abstract:
In the 1990s, states rushed to enact legislation permitting the forms of limited liability company and limited liability partnerships. This movement was triggered when the IRS and the courts abandoned strict tax guidelines to afford these new forms tax treatment as partnerships. That states ignored some important considerations when permitting these new forms highlights some of the problems with federalism in the law of business organization.

The development of forms or organization for professional partnerships is discussed. The creation of the forms of limited liability partnerships in Texas and limited liability company in Wyoming is examined.
