Merger, moving and division across national borders - When case law breaks through barriers and overtakes directives

Article Abstract:

The new possibilities which are created by the latest cross-border mergers (CBM) Directives of EU acts in combination with case law including the consequences for employee involvement through actual participation rights is analyzed. With respect to the question of employee involvement, both the SE Employee Directive and the CBM Directive contain detailed rules to secure employees against any diminution in their existing forms of participations rights.
