Participation and property rights
Article Abstract:
An argument for stakeholder rights is presented. It is argued that the company should not ask in whose interests it should function but which type of interest it might serve. That interest is identified and differentiated from others that people affected by companies could have. This line of reasoning leads to the conclusion that favors the empowerment of two types of individual: sovereign stakeholders and secondary stakeholders.

Codes of ethics as contractarian constraints on the abuse of authority within hierarchies: a perspective from the theory of the firm
Article Abstract:
A contractarian view of corporate codes of ethics is proposed to try to attack the problem of abuse of authority in the new institutional theory of the firm. From the ex ante perspective, the concept of a Social Contract based on Cooperative Bargaining Games is elaborated and from which the fair/efficient 'Constitution' of the firm is deduced. From the ex post perspective, codes of ethics are shown to be self-reinforcing norms.

Establishing moral business culture in newly formed democracies
Article Abstract:
Business ethics is highly important in newly formed democracies. Morality in business is primarily necessary for a market economy to be legitimate as well as for the excellence in a global market economy. The business community must be committed to building a strong moral business culture. This can be done by committing to ethical code or value statements.
