Securities litigation reform legislation
Article Abstract:
Both the US House of Representatives and the US Senate considered a series of bills in 1995 intended to reform securities litigation. There are significant differences between House and Senate versions, which have slowed adoption, but both bodies intend to limit discovery and frivolous lawsuits, limit securities class action promotion, offer safe harbors for forward-looking information and enact proportional liability. Review of legislative histories shows that other issues such as punitive damages, the fraud-on-the-market theory and abettor liability have also been considered.
