Securities regulatory reform legislation
Article Abstract:
Securities law reform was a major issue in Congress in 1995-1996. The House Securities Amendments of 1996 and the Senate Securities Investment Promotion Act of 1996 both presented changes which would preempt state securities laws requiring registrations, limit state broker-dealer requirements and require coordination of those requirements with the SEC, amend the Investment Company Act of 1940, and give the SEC exemptive authority. The legislative history of these draft laws is presented.

The Private Securities Litigation Reform Act - overview, summary and new developments
Article Abstract:
The Private Securities Litigation Reform Act of 1995 (PSLRA) changed requirements and limitations for bringing private actions under the Securities Act of 1933 and the Securities Exchange Act. PSLRA was drafted to curb abusive securities class action suits, give stockholders greater control over class action suits, require more disclosure, and deter frivolous suits. Major PSLRA provisions are discussed.

Securities Litigation Uniform Standards Act of 1998
Article Abstract:
The Securities Litigation Uniform Standards Act of 1998 was proposed in Congress to eliminate a loophole in the Private Securities Litigation Reform Act of 1995. Under the 1995 act, plaintiffs can avoid discover stays and pleading standards by filing class actions in state courts. The 1998 would require such class actions to be filed in federal courts.
