Roberta Schuhalter Karp, the vice pres, general counsel and secretary of Liz Claiborne Inc, a leader in the US apparel industry 22 years after its founding with sales of $2.4 bil in 1997 and net income approaching $185 mil, designs and markets men's and women's clothing, accessories and fragrances and licenses its name for related products. In-house attorneys handle licensing, franchise, SEC and real estate issues, and year-2000 matters, while outside counsel handles most of the drafting.

Mark A. Belnick, the executive vice pres and chief corporate counsel of Tyco International Ltd, whose primary business is manufacturing and specialty services, states that Tyco's management model of decentralization means that each of the four principal business segments has its own attorneys. The attorneys in each of these report directly to the CEO and also to Belnick. Tyco does many mergers and acquisitions and in Nov 1998 won a takeover battle with AMP, the electronic components maker.
