Think globally, act locally: it's time to reform the intrastate exemption
Article Abstract:
Section 3(a)(11) of the Securities Act of 1933 details the intrastate exemption and the exemption from the registration requirement it affords. Its purpose is the facilitation of financing for small business. The SEC would further help small business financing by providing that the intrastate exemption is not lost for good faith, minimal deviations from the statutes or regulations. This would help the American economy meet today's challenges from global competition.
