Venture finance seekers need special expertise; role of company counsel can range from finding sources to drafting complex documents
Article Abstract:
The management of many companies looking for venture capital often has much technical or entrepreneurial knowledge but little experience in gaining such capital. Venture investors provide capital to a broad range of companies and company counsel can play an important role in this process. Typically, the investors seek some degree of control through a series of covenants directing and restricting the company's operations. In addition to drafting these covenants counsel is often asked to provide advice and the tax implications of financing structures.

Should a company circulate a favorable analyst's report to potential investors? A recent line of cases suggests the practice could expose a company to liability
Article Abstract:
Public companies should be careful about recirculating securities analysts' reports as liability under the post-publication ratification theory could result. Rulings upholding this theory have thus far all come from the Northern District of California, but the California cases are similar to those holding a company responsible for updating projections after showing that it is comfortable with them. In re RasterOps Corps. Securities Litigation was the first time this theory was used.

Firm must first know its mission
Article Abstract:
Law firms engage in successful practice development when the senior partners develop mission statements for the firm which integrate management, marketing, and professional goals. Practice development groups should be formed to establish how the firm's services fit its market. The senior partners should remain in control of final decisions over the marketing plan, as outside consultants are only really 'coaches' for the firm's managers.
