Vivendi Said To Now Favor An NBC Deal

Vivendi Universal S.A. has indicated that it is ready to accept a merger bid from the National Broadcasting Company Inc. One obstacle may come fro m former Vivendi board member Edgar Bronfman Jr., who resigned from the board so that he could make his own acquisition offer. Despite his relentless efforts, Bronfman may lose to NBC. Vivendi is attacted to entering into a partnership with NBC and becoming an NBC-Vivendi entertainment conglomerate. NBC is offering this instead of cash, but Vivendi also believes that NBC parent General Electric's management strength will enhance Vivendi stock.

Vivendi Seems Unusually Willing To Do a Deal With a Handshake
Article Abstract:
Vivendi's plans to sell its entertainment assets has been marked by a chaotic bidding process, with possible suitors joining in and dropping out of contention. With NBC now as the chief prospect, Vivendi seems willing to accept a 'gentleman's agreement' instead of the normal 100-page agreement that is used to end the bidding. This strategy will give Vivendi less leverage in negotiating the fine points of the plan as the details are finalized.
