Prior to transaction for mergers or acquisitions, both buyers and sellers must review a checklist of professional liability to avoid financial risks and technical complications. The sellers, who are liable for their prior acts, should purchase either a run-off policy, a retired professionals policy, or an extended reporting period endorsement from their insurers. The buyers should consider the impact of the merger on their coverage and premium and be aware of their inadequate limit of liability. They should examine the sellers' 10-year claims history, both annual and overall summary.

The National Ignition Facility: buyer beware
Article Abstract:
The Dept. of Energy's $40-billion Stockpile Stewardship Program will supposedly aid in the maintenance, safety, reliability and performance of the US nuclear arsenal so that a US president will never have to resume nuclear testing. The program includes provisions for the construction of new experimental facilities, the centerpiece of which is the $1.1 billion National Ignition Facility. Critics argue that the laser fusion laboratory assesses warhead components that have never worn out and will probably not have much of an authority in fixing defective warheads.

Article Abstract:
The traditional rules which are being followed by purchasers of aluminum to be used in manufacturing are based on assumptions which are no longer true. For example, standard stock sizes are often bought at the lowest available price. However, cutting them to size in production entails more costs that purchasing them at specified sizes. Another example is the concept that purchasing in large quantities saves money. However, costs involve in stocking are often neglected and may involve more expenses.
