Corporate acquisitions in the 1990s: paying attention to information technology
Article Abstract:
The importance of information technology (IT) in the acquisitions process is underscored. In the 1990s, corporate acquisitions and mergers are increasingly becoming more complex, due to challenges posed by globalization, local competition, short product life-cycles, rapid innovation, environmental considerations and public regulations. Studies have indicated that while gains from acquisitions accrue to shareholders of the acquired firms, the benefits to acquiring partners are not as clear-cut and the above factors contribute to inevitable difficulties. Because IT is essential not only in administrative functions but also on operational procedures, the evaluation of a potential acquisition's IT capabilities is essential in order to identify its contribution in terms of systems and information, its corresponding value in terms of negotiation price and the difficulties involved in integrating the two systems.

Managing human, social and intellectual capital for competitive advantage
Article Abstract:
Modern human resource management's (HRM) emphasis on best practices or common approaches to managing the human resource is disputed by the findings of D.P. Lepak and S.A. Snell. For Lepak and Snell, organizations should focus on identifying the value and uniqueness of their human resources or human capital. From these two factors, a four quadrant model is proposed by Lepak and Snell to help organizations decide whether human capital development is to be done internally or externally. Another approach to HRM is focusing on organizational learning. Learning tools are classified as maintenance, anticipatory, crossover and utility. Advanced by Fulmer, Gibbs and Keys, the main criticism against the approach is whether the tools cited by the three really add up to the learning capability of an organization.
