Mexico: mergers: could a cross-border merger in Mexico be a viable acquisition structure?
Article Abstract:
Rules governing mergers of US corporations with those in Mexico are examined. Mexican General Corporate Law does not recognize mergers with a US firm, but they are not prohibited. Confidentiality laws, registration with the Commercial Public Registry, and other rules are explained.

Mexico's rules on taxation of mergers and acquisitions are explained in relation to US firms and other foreign investors acquiring Mexican companies. Stock transactions and asset purchases are both examined.
