The relationship between governance structure and corporate performance in entrepreneurial firms
Article Abstract:
The linkages between governance structure and corporate performance in entrepreneurial firms are examined. It is noted that potentially dysfunctional governance structures reported for stable small corporations do not affect the performance of firms. The inclusion of independent directors in the corporate board to achieve higher performance is also an accepted practice. However, some chief executive officers prefer the use of outside experts, a strategy which lets them tap outside resources and expertise without relinquishing effective control of the firm.

CEO and board chair roles held jointly or separately: much ado about nothing?
Article Abstract:
The practice of employing dual duties for chief-executive-officers (CEOs) is counterproductive for the company they serve, according to some notable organizational constituents including the California Public Employees Retirement System. According to these shareholder groups, a joint CEO structure tends to jeopardize the effectivity of directors and firm officers. Instead of adopting this approach, business experts believe that employing the services of a non-executive director as board chair would be more optimal.

On the measurements of board composition: poor consistency and a serious mismatch of theory and operationalization
Article Abstract:
More than two dozen operationalizations of board composition can be determined from experimental studies. A structural equations confirmatory factor analysis (LISREL 8.03) indicates that these operationalizations are not composed of a single construct of board independence. Instead, there are three separate constructs. Common operationalizations of board composition are therefore neither acceptable surrogates for one another nor are they interchangeable.
