Article Abstract:

Schroders advised bank SG Warburg while Hambro Magan of London, England, advised bank Swiss Bank Corporation (SBC) of Switzerland during the banks' merger negotiations. Hambro Magan's role included negotation and valuation as well as the co-ordination of other accounting, tax and legal advisors. Some feel external advisors will always be required in large merger negotiations, even for the mergers of investment banks. Hambro Magan has previously acted in large bank acquisitions but is criticized for seeking publicity before transactions are finalised.

The number of foreign investors who have divested interests from Chinese partners has increased. Prudent investors should make provision for the possibility of divorce prior to implementing their partnership. Resolution should be attempted prior to bringing the dispute before Chinese courts as their judgement is often suspect. Liquidation, preserving the value of assets adn selling equity should be considered prior t making final agreements.
