Tom Kempner's experience in selling Henley Distance Learning (HDL) taught him that when selling a business you must appoint good advisers, keep the shareholders informed, and expect problems. Kempner founded HDL in 1980 as part of Henley Management College, where he was principal. He brought in other investors in 1985, although the college kept a 49.9% stake. However, by 1994 the Business Expansion Scheme investors wanted to realise their investment, so Kempner decided to sell the whole business, finally selling to Pearson Publishing.

Publisher Verlagsgruppe Georg von Holtzbrinck of Germany is acquiring a 70% holding in the family-owned international publishing company Macmillan of the United Kingdom. The acquisition is reportedly costing about 200 million pounds sterling. Macmillan plans to maintain growth, with profits having increased over twofold during 1992-1995 while sales have risen 30%. The company felt the tradition and philosophy of Holtzbrinck was more in keeping with its own culture than a stock market flotation.
