Steeling itself for a takeover

A convertible loan note structure has been selected by Candover for a deal in which it will invest in ASW, a steel manufacturer suffering financial difficulties, in order to facilitate the purchase of Co-Steel Sheerness, ASW's closest market rival. ASW has proposed a 17 million pounds sterling open offer to shareholders, with Candover providing the balance of the funding needed at completion through subscription to a convertible loan note. In effect, Candover is underwriting 14 million pounds sterling of the open offer via a commitment to subscribe to further loan notes to the extent to which ASW shareholders do not take up the open offer.

The drive for investment gathers speed
Article Abstract:
The prospects for foreign direct investment in eastern and central Europe seem good, but there are wide variations between different countries and some states still have many economic obstacles to overcome. In 1994, direct foreign investment in the region rose by almost one quarter vs 1993, with many foreign investors being attracted by the region's access to important markets in central Europe. Hungary has had great success in attracting direct foreign investment, and is pressing on with a new round of privatisations. Other countries have had more mixed results.

Many different areas of the UK buyout industry were represented at Acquisition Monthly magazine's conference entitled 'Management Buyouts: The Latest Issues.' Gordon Bonnyman pointed out the differences and similarities between current market conditions and those of the late 1980s. He also considered whether some of the high-profile deals undertaken recently have featured large sums of money based on the price to EBIT ratios. Jon Moulton was critical of what he regarded as the excesses of some of his fellow professionals.
