Article Abstract:
The UK Panel on Takeovers and Mergers administers the City Code and Rules governing Substantial Acquisitions of Shares. The Rules prevent a buyer from acquiring more than 15% of shares and less than 30% of total voting shares of a publicly listed company from a single seller within a seven-day period . The purpose of the Rules is to reduce pace at which buyers increase their aggregate holdings. This gives shareholders time to participate in the higher share price, and it gives management to consider their position and take appropriate action. Major cases heard by the Panel have included: management relief; overseas regulators; and breaches of principle.

Article Abstract:
An overview of the ramifications of key court rulings on aspects of the UK Financial Services Act of 1986 are presented. Aspects of the Act that have been considered by the courts include insider dealing and disclosure, the jurisdiction of Scottish courts over companies domiciled in England, and the freezing of assets under a Minerva injunction.
