Major companies have been criticised for the levels of stocks awarded to their executives who have to fulfil performance criteria that may not be demanding. Stockholders oppose such practices, which can lead to earnings dilution. Investors cannot easily understand how such schemes operate since they are often not clearly explained. The language used to describe the schemes tends to be pompous, and there is often a lack of explanation of benchmarks.

How PEPs wooed the mass market
Article Abstract:
Personal equity plans (PEPs) were launched in the UK in 1987, since when they have become a popular, tax-free savings scheme for private investors. There were just 120,000 PEP investors in 1987, compared with 1.49 million in 1995-96. In their original form, PEPS would have remained a a minor tax incentive for the rich, but new rules introduced between 1989 and 1992 have made them a popular option for both large and small investors.
