Red tape under threat

The Deregulation and Contracting Out Act of 1994 (DACOA) was passed into law by Royal Assent on Nov. 3, 1994. The act is an important component of the UK government's agenda for eliminating excessive regulation of business, charities and individuals. One of its key provisions is the establishment of a mechanism that allows legislation to be repealed or amended by ministers through statutory instruments instead of parliamentary action. Other important provisions of DACOA give the Secretary of State greater responsibility for overseeing corporate mergers and monitoring restrictive agreements. DACOA's provisions also cover a range of other issues, such as the modification of competition law, the dissolution of non-trading companies, the repeal of certain sections of the Employment Protection of 1978, the amendment of the Charities Act of 1993 and the reform of contracting-out procedures within the government.

When a transfer of shares is restricted
Article Abstract:
Articles of many British private companies include clauses that limit the right to transfer shares, mainly to prevent outsiders from gaining control of these firms. Two of the most common restrictive provisions are rejection of transfer and pre-emption clauses. Refusal of transfer clauses allow directors absolute discretion in rejecting registration of transfers. Pre-emption provisions require members intending to sell their shares to offer them first to other company members before going to outsiders.
