Company meetings by phone
Article Abstract:
The law does not require that company meetings be held face to face. This holds true for both board meetings and general meetings for members. The relevant clauses to support this view are stipulated in regulations 70 and 93 of the Companies Act of 1985. What is important is that such meetings are held according to the provisions set up by the articles of the company concerned. It is therefore accurate to state that any decisions made through meetings conducted via an audio-visual link shall be considered legally binding provided that all concerned directors or shareholders, as the case may be, are able to participate fully in any deliberations during a meeting.

The British mergers and acquisitions (M&A) market is staging a modest revival as some of Britain's best-known takeover specialists re-enter the corporate takeover market. Notable deals include the bid by Williams Holdings PLC for Racal Electronics PLC's lock and safe business, the acquisition by Hanson PLC of the troubled Beazer Holdings Group, and BTR PLC's takeover of Rockware Group PLC. As of Oct 1991, outstanding takeover activity was valued at 4.6 bn pounds sterling. More deals are expected, but analysts say the takeover boom may be slowed to a halt in early 1992, in anticipation of Britain's scheduled parliamentary elections.
