The violation of cash balance rules of Employee Retirement Income Security Act of 1974 regarding the pension planning by IBM is discussed. The legal aspects of age discrimination issues of the cash balance plans presented. The case of Cooper vs IBM is analyzed.

Impact of the Sarbanes-Oxley Act of 2002 on broker-assisted cashless stock option exercises.

The Sarbanes-Oxley Act prohibits any one from giving credit to the executive officer or director. However it does not address the problem or danger of executive officers and directors dealing in stocks without using cash.
