Article Abstract:
Those involved in revisions to UCC 2B narrowed the focus to an attempt to revise contract law facilitating computer transactions. Members of the National Conference of Commissioners on Uniform State Laws and the American Law Institute are among the drafters, and input comes from media, software, library, consumer and business interests as well. The UCC does not reach software products, but "shrinkwrap" or "clickwrap" are designated "computer information transactions" by parties to a UCC 2B contract an are new and complex enough to occupy drafters for a long time.

Article Abstract:
Year 2000 transition mass mailings are being sent out in large numbers, but the response rate on such letters and the quality of response are very low. Possible liability problems include litigation over whether a company exercised due diligence in failing to follow up. A focus on business continuity is the better approach, targetting the mission-critical suppliers and what customers need to know. The Year 2000 Information and Readiness Disclosure Act provides a safe harbor from liability for Y2K statements.

The law requires that software vendors and businesses exercise due diligence to minimize disruption from year-2000 noncompliance, and people are starting to realize the extent of the problem in the late 1990s. The Year 2000 problem is not simply a software problem, but involves everything software touches. The hardest part for lawyers is getting clients to focus on business risk.
