Big corporations are investing more in start-ups; start-ups can benefit, but risks may include change of strategy, conflicts of interest
Article Abstract:
Corporate investment in start-up businesses is growing, but the former must see the risks and benefits of such alliances. Small businesses might be able to keep more of a say in their affairs by denying the partner a board seat or access to all board meetings.Care in negotiating strategic ongoing agreements is also needed, as well as clauses forcing a buyback of the corporate partner's shares of stock or the right of first refusal if the agreement is terminated. The start-up company should also carefully negotiate its rights to any jointly developed intellectual property.
