Article Abstract:
The growth of worldwide commerce, rapid technological innovation, and the increased importance of intellectual property law are among the factors behind the importance of joint ventures. A due-diligence-analysis of the technology and intellectual property being conveyed must be done before entering into a joint venture. The joint venture agreement may convey intellectual property rights and if so participants must decide whether to assign or license them, which depends on many factors including the nature of the assets and the specifics of the transaction. Other IP factors are discussed.
