Joseph E. Geoghan, the vice pres, general counsel and secretary of Union Carbide Corp, heads a department of 36 attorneys and 40 support staff, including paralegals. His departmental budget is $30-35 mil, while that for outside counsel is $18-25 mil. To Geoghan, the greatest management challenge continues to be keeping litigation costs under control, and he thinks such costs have come down dramatically by doing much of the pretrial matters in-house.

William Lawrence, the exec vice pres, general counsel and secretary of TRW Inc, supplier of high-technology products for the automobile, defense and space industries, heads a department of 45 lawyers evenly divided between general lawyers and those specializing in an area such as securities. Lawrence places value on teamwork and tries for effective partnerships with outside counsel. He has negotiated fee structures with some of his outside counsel.
