Fight 'futile' for Spar's embattled directors
Article Abstract:
The board of directors of Spar Aerospace Ltd. has backed down from a group of dissident shareholders who are seeking control of the company. Spar issued a proxy circular to shareholders which stated that the current board will give way to the seven nominess of the dissident group. However, the current board is asking shareholders to reject a modified poison pill that would allow the dissidents to consolidate their control over the company and the proposed payout that would drain the company's coffers. The dissidents control 58% of Spar Aerospace shares.
