Curbing CEO pay: CEO cult
Article Abstract:
The CEO cult took hold in the 1980s and 1990s, when compensation consultants were retained in a big way, but since the consultants were appointed by the CEOs themselves, the board members had to negotiate with the CEOs' advocates. Moreover, CEOs negotiated their deals before they accepted the job, and once they were hired, the company was obliged to go by the terms even if the CEO stumbled.

Corporate boards are becoming more demanding, hiring their own compensation consultants, and much of the pressure on boards is coming from institutional shareholders, which is likely to grow in the future. Shareholders are pushing to allow advisory votes and a "say on pay" resolution is presented to some of the big companies as a corporate governance issue.
