Novell to buy AT&T's Unix System Labs: the deal could offset the influence of Microsoft

Novell Inc will acquire AT&T's Unix System Laboratories Inc for $350 million in stock. Unix System Laboratories makes a version of the Unix operating system. The deal could strengthen Novell in its competition with Microsoft Corp. Microsoft's MS-DOS and Windows programs currently dominate the microcomputer industry, and the company's forthcoming Windows NT software will take Microsoft into markets in which Unix is sold. Industry observers say Microsoft could control the entire industry from desktop computers to servers. Observers are concerned about Microsoft's growing power. The Federal Trade Commission (FTC) is expected to decide in Jan 1993 whether the giant company has violated antitrust laws.

Software merger bid collapses; Lotus and Novell fail to reach agreement on makeup of board

Computer software publishers Novell Inc and Lotus Development Corp broke off talks about a $1.5 billion merger when they failed to agree upon the membership of the board of directors. The planned merger, which was announced on Apr 6, 1990, was seen as an attempt to compete with Microsoft Corp. Revenue in fiscal 1989 for the companies is $556 million for Lotus, $422 million for Novell and $803 million for Microsoft. Lotus would not accept Novell's request, made on May 18, 1990, that the new board have four directors from each company versus the four Lotus directors and three Novell directors previously agreed upon.

Lotus Development Corp and Novell Inc agree to a $1.5 billion merger. Lotus is known for its popular 1-2-3 spreadsheet; Novell makes software that links microcomputers and workstations together into networks. Novell will be a subsidiary of Lotus. This merger is said to be directed at Microsoft Corp, currently the leader in the microcomputer software industry. Distributed computing is now the fastest growing segment of the computer industry, and Lotus and Novell want to set standards for distributed computing, not conform to standards set by Microsoft.
