Unocal to buy 46-per-cent stake in Northrock

Oil and gas producer Unocal Corp of El Segundo, CA, will acquire a 40% stake in Northrock Resources Ltd of Calgary, Alberta, for as much as C$265 million. Unocal has offered to acquire 10 million Northrock shares for C$14 mil each from shareholders, conditional to the company's acquisition of at least 6.9 million shares. If the tender offer is successful, Northrock will issue additional shares at C$16 per share to boost Unocal's stake to 46%. In addition, Northrock has the option to require Unocal to boost this stake to 49.9% at $15 per share until Dec 31, 1999.

Pacalta spurns AEC takeover offer

Pacalta Resources Ltd, a Calgary, Canada-based oil producer, rejected the C$474-million all-stock offer of Alberta Energy Company Ltd (AEC), one of Canada's most successful energy firms which give emphasis on strongly priced natural gas. AEC plans to extend its global reach by making Pacalta Resources the base of its drive into the less-developed oil regions of South America.
