An Analysis of Changes in Subchapter S Provisions
Article Abstract:
The discussion analyzes the pros and cons of Subchapter S, as a device in corporate tax planning. The Subchapter S regulations are complicated, but the new Subchapter S Revision Act has made S status more feasible for stockholders. Through the use of tables and examples, the article examines topics such as early operating loss, avoidance of double taxation, immunity from accumulated earnings tax, irrelevance of unreasonable compensation standards, shareholder restrictions, non-voting stock, foreign source income, passive income and corporate distributions. Of the problems presented, the worst appears the chance that uninformed or careless taxpayer errors can result in termination of S status and result in great penalties for those involved.
