AUSTRIA: AUSTRIA TABAK CLEARS GALLAHER DEAL
Article Abstract:
The shareholders of the Austrian tobacco company have given their approval to the acquisition of Austria Tabak by Gallaher Group. The British group is paying Sch 25.7bn for the 41.13% stake previously held by the state holding company OIAG. Gallaher will make a cash offer for the rest of the group at the end of August 2001. Nigel Simon will represent Gallaher in Austria Tabak's board of directors. Heinz Schiendl will remain board member. The retiring finance director Jorg Schram will be replaced.

Article Abstract:
Austria Tabak (AT), which is to be privatised further in the first half of 2001, is said to prefer Gallaher as a partner. With the UK group, AT would have no problem with its licence agreements with BAT, Philip Morris, Reemtsma and Reynolds.

As expected, the Austrian Cartel Office approved the acquisition of Austria Tabak by British Gallaher Group. The shareholders of Austria Tabak will vote on the transaction on 20 Aug 2001. Earlier on, the German and Irish anti-trust authorities had approved the deal.
