Cashing in on Britannia: the UK remains an M&A magnet for overseas companies

The total value of merger and acquisition (M&A) activity in the UK amounted to 64.1 billion pounds sterling in 1997, up 7.7 billion pounds sterling from 1996. The pivotal deal of the year was the 9.8 billion merger between Guinness and Grand Metropolitan. The identifiable trend in 1997 was the sluggishness of activity between UK companies, with the domestic market amounting to 33.8 billion pounds sterling, compared with 32.9 billion pounds sterling in 1996, while M&A activity between UK companies with a cross-border element reached 12.2 billion pounds sterling in 1997, against just 3.7 billion pounds sterling in 1996.

Prices rocket up

There were 29 completed public acquisition and merger deals in the UK in the fourth quarter of 1997. Average premiums over the target share price one day and one month before the offer was announced were 38% and 43% respectively. The largest one month premium was seen for the purchase by scientific instruments manufacturer Thermo Electron Corp of traffic and field data systems concern Peek. The highest one day premium was offered by General Electric in its 118 million pounds sterling offer for trailer rental and services concern Central Transport and Rental Group.
