Article Abstract:
United States companies represent good acquisition opportunities for United Kingdom companies but there are also many pitfalls which make such acquisitions vulnerable. UK acquirors may have difficulties in supervising the internal problems of the US firm due to distance, while cultural differences in areas such as employee welfare and business practices can create problems. UK acquirors are susceptible to overpaying for US firms and potential acquisition targets should be fully screened beforehand. There are many profitable firms in the US, however, and the consumer market is vast.

Equity investors are now more aware of the practical significance of intercreditor arrangements, particularly following the recession and difficulties encountered in some larger transactions. The major companies involved in intercreditor agreements usually follow such agreements with only minor changes, although difficulties can arise when there is a new entrant to the market.
