Article Abstract:

Real Software is to issue 76,995 automatically convertible bonds (subscribers will be allowed to subscribe to the operation on the basis of one bond for 16 of the stocks they own) while increasing its capital through issuing 65,596 new stocks. The Belgian software publisher wants to levy BFr 1.8bn through the two operations, which should allow it to keep developing both in organic growth terms and to make acquisitions. The group is about to take over two companies in Belgium and another two in France and the UK. Discussions have reached the final stage for these four companies, while being in a less advanced stage for another two targets in Belgium and Luxembourg. In case the general assembly of shareholders agrees with the proposal, Real Software will cut its stock's value by 10 as of August 1998, to improve the liquidity.

Quebecor veut remettre en cause son implantation/

Article Abstract:

Quebecor might renounce to a project to install a gravure printing unit in Tournai, in Western Belgium, to reinforce the capacity of a France-based plant in Lille whose equipment has become obsolete. The Canadian group should be unable to respect the deadline (30 September 1999) which it has set to achieve the project, as a result of a decision taken by the Walloon regional government. The latter decided not to sign the definitive contract following the agreement in principle which was signed on 9 July 1998. The Canadian printing group, which expected to invest some BFr 4bn into the new unit, does not know the reason why the Walloon authorities changed their mind. The actual implementation of the agreement might now be postponed to the end of 1998 at the soonest, Quebecor estimates.

Article Abstract:

Real Software, which is about to make a significant acquisition in France, has just taken a 50% share in the capital of Sycron, which posted a turnover of BFr 448mn and a net profit of BFr 41mn . Sycron, which should increase these two figures to BFr 600mn and BFr 60-75mn in 1998, supplies complete solutions (software and hardware) to the retail distribution sector in Belgium. The Belgian software publisher Real Software, which has a three-year option on the remaining 50%, paid the equivalent of 12 times the net profit expected at Sycron in 1998, for the acquisition of the 50% share.
