The German buyout in the light of the Euro
Article Abstract:
The German merger and acquisition market rose to record levels in 1998, with an estimated 2,100 mergers or buyouts and an overall transaction volume of more than DM300 billion. Most deals were undertaken in the medium-sized companies sector. The market for medium-sized companies will have a substantial impact on the German buyout market. This market will be driven by the growing pressure on family-owned businesses to seek a successor and to gain the critical mass required to compete in the Euro-zone. Germany is set to benefit from the anticipated wave of buyouts and mergers in the Euro-zone.

Public tender offers in Germany
Article Abstract:
It is advisable for any company planning a public tender offer in Germany to follow the regulations of the German Takeover Code, even though the Code is non-statutory. Before launching a takeover bid, the bidder must inform the target firm, the relevant stock exchanges, the Federal Trading Supervisory Authority and the Takeover Commission. One or more banks must be selected to act as Tender Agents for the technical execution of the offer. It may prove beneficial to have one securities firm acting as both financial adviser and Tender Agent.

The value of merger and acquisition deals in Italy reached record levels in 1999. Telecommunications and financial services accounted for more than 95% of deal value and 70% of deals by number. Leading investment banks in Italy include Lehman Brothers, CSFB, Morgan Stanley and Goldman Sachs. As the 21st century begins, Italy's leading banks - Banca Intesa-BCI, San Paolo-IMI, Banca di Roma and Unicredito Italiano - are close to having a credible presence in the European market.
