The communication challenges of cross-border deals

California-based information technology firm BARRA dealt with the acquisition of Scottish-based Edinburgh Financial Publishing (EFP) through Scottish law firm Dundas & Wilson. BARRA has increased its revenue to $104.8 million in 1997, from $55.5 million in 1994, and was looking for complementary firm to purchase. Using the Internet and e-mail enabled Dundas & Wilson to deal directly and efficiently with BARRA, reducing the impact of time differences and distance.

Financial implications must be taken into account when assessing environmental risks involved in mergers and acquisitions activities. Devaluation assessment has been introduced by US law regulators to cope with proximity to contaminated sites. Target companies will receive a better rate of return from a takeover bid if care and consideration has been given to environmental due diligence.
