Explaining the shape of corporate law: the role of competition
Article Abstract:
Competition in corporate chartering business has significantly helped develop corporate laws in the US. The actions of business law advocates such as corporate lawyers, corporate managers, and the American Bar Association are considered contributing factors to its formation. The actions of managers are seen as more effective than those of lawyers due to faster formal approvals. Groups such as labor, management, and creditors receive better benefits in European markets than in the US despite an absence of competition in corporate laws.

Research investigating ways in which corporations should be punished for the crimes of their employees is presented. A framework is constructed to answer questions regarding the legal definition of corporate crime and the most efficient structure of sanctions.
