Next steps in proxy reform
Article Abstract:
A political model of the SEC rules of governance shows that the regulation of shareholders is an unnecessary and troublesome side-effect of other bodies of law, including antitrust, banking, bankruptcy, corporate, tax and environmental law. SEC attempts to alter proxy rules cannot be effective without realising the effects these other bodies of law have on shareholder passivity. Two proposed sets of rules changes recommended by the academic community that are intended to allow more shareholder involvement are included, and discussed in detail.

Article Abstract:
The author uses the example of day trading in stocks to examine the relationship between the ideas of fairness and orderliness in the regulation of securities markets. The failure of the fairness concept to account for vulnerable investors' limited access to financial and educational resources is discussed.

Article Abstract:
The development of the legal theory that 'truth-on-the-market' third party information may absolve a company from securities law liability arising from its misstatement or omission of material information is discussed in light of the impact of the Internet on the disclosure of securities law information.
